Terms of service

These terms govern your use of PricePanda. By creating an account or using the service, you agree to them. PricePanda is operated by Volsted Media OÜ(registry code 17472855), an Estonian private limited company with its registered office at Sepapaja tn 6, Lasnamäe linnaosa, 15551 Tallinn, Estonia ("Volsted Media", "we", "us"). 1. The service

PricePanda monitors publicly accessible competitor product pages and surfaces price, stock, and discount changes to you. We do not log in to competitor sites, bypass paywalls, or circumvent anti-bot measures. You agree not to use PricePanda to circumvent any technical protection on a third-party site.

Features change over time. We may add, change, or retire features. Material changes that remove functionality will be announced with reasonable notice.

2. Your account

• You must be at least 18 and authorised to bind your organisation.
• You're responsible for keeping your password and 2FA factors safe.
• If you suspect someone has accessed your account, notify us immediately.
• Don't share a single user account between multiple people, invite them properly when team accounts launch.

3. Acceptable use

You agree not to:

• Use PricePanda to harass, scam, or harm other businesses.
• Track sites where doing so violates that site's terms or applicable law in your jurisdiction.
• Resell, sublicense, or expose the PricePanda API outside your organisation without our written consent.
• Reverse engineer or scrape PricePanda itself.
• Use the service to build a competing product.

We may suspend or terminate accounts that violate this section.

4. Trial and free use

New accounts get a 14-day free trial of Starter features. No card is required to start the trial. After the trial ends, you can pick a paid plan, continue on the free tier (where available), or do nothing, we don't auto-charge you.

5. Subscriptions and billing

• Paid plans bill in advance, monthly or yearly, whichever you choose.
• Yearly plans are billed up front for the 12-month period.
• Payments are processed by Stripe. You authorise us to charge your selected method until you cancel.
• Prices are shown and charged in EUR. Stripe converts to your local currency at the prevailing rate if your card is denominated otherwise.
• Applicable VAT or local sales tax is added at checkout where required.
• You can upgrade at any time, the change takes effect immediately and we prorate the difference.
• You can downgrade or cancel at any time, the change takes effect at the end of the current billing period.

6. Refunds

Monthly plans are non-refundable but you can cancel anytime to stop future charges. Yearly plans are refundable on a pro-rata basis within the first 30 days; after that they are non-refundable. EU consumers may have additional statutory rights; if those apply we'll honour them.

7. Price changes

We may change subscription prices. For existing paid customers, any increase takes effect on the next renewal and we'll email you at least 30 days before. If you don't like the new price, cancel before it kicks in.

8. Your data

Your account data, store catalog, and the competitor data you ask us to track belong to you. You can export at any time. Our handling of personal data is set out in thePrivacy Policy.

We retain scraped competitor product data for up to 24 months for historical reporting. You can request earlier deletion.

9. Third-party integrations

PricePanda can connect to platforms like Shopify, Slack, and others. When you connect a third-party service, you authorise PricePanda to access the data needed to deliver the integration, and you remain bound by that third party's terms. We are not responsible for third-party service availability, accuracy, or changes that break the integration.

10. Automatic repricing (your responsibility)

Some current and upcoming features let PricePanda change your store prices automatically in response to competitor moves (for example, pushing a new price back to Shopify when a competitor drops below yours).

Auto-repricing is provided as a tool. You are solely responsible for:

• Configuring the guardrails (floor prices, max discount %, allowed product sets, etc.) before turning auto-repricing on.
• Reviewing and approving the rules that apply to your catalog.
• The financial outcome of any price PricePanda writes back to your store on your behalf, including lost margin, mispriced products, or below-cost sales caused by missing or misconfigured guardrails.
• Ensuring your usage complies with applicable competition, consumer-protection, and resale-price laws in your market.

PricePanda will execute the rules you configure. We do not validate whether those rules are commercially sensible for your business. If a competitor errors out their own price at $1 and your guardrails permit it, PricePanda may match. To the maximum extent permitted by law, we are not liable for losses caused by prices written back through auto-repricing where you configured (or failed to configure) the controlling rules.

You can disable auto-repricing at any time from settings.

11. Intellectual property

PricePanda, including the software, name, logo, design, and content we author, is owned by Volsted Media OÜ and protected by copyright and other IP laws. You get a non-exclusive, non-transferable right to use the service while your subscription is active.

You retain ownership of your store data and anything you upload. You grant us the limited right to process that data as needed to deliver the service.

12. Confidentiality

Each party will treat the other's non-public information as confidential and only use it to perform under these terms. This survives termination.

13. Warranties and disclaimer

We provide PricePanda "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or that scrapes will always reflect the current state of a third-party site. Pricing and stock data is provided for informational purposes, verify before making material commercial decisions.

Except as required by mandatory consumer law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement) to the maximum extent permitted by law.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost margin, lost goodwill, or business interruption, even if advised of the possibility.

Our aggregate liability arising out of or related to these terms is capped at the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) EUR 100. Nothing here limits liability for fraud, wilful misconduct, death or personal injury, or anything else that cannot be limited under applicable law.

15. Indemnification

You agree to defend and indemnify Volsted Media OÜ against any third-party claim arising out of (a) your misuse of the service, (b) your violation of these terms, (c) prices written to your store via auto-repricing under your configuration (see §10), or (d) your violation of any law or third-party right.

16. Term and termination

These terms apply from when you create an account and continue until terminated. You can cancel any time from billing settings. We may terminate or suspend your account if you materially breach these terms (e.g. non-payment, abuse, illegal use). On termination, your right to use the service ends; we'll keep your data available for export for a reasonable period.

17. Suspension

We may suspend your account without notice if we believe continued use poses an immediate risk to us, other customers, or third parties (e.g. apparent fraud, scraping abuse, or a security incident). We'll let you know as soon as it's safe to do so.

18. Force majeure

Neither party is liable for failure to perform caused by events beyond reasonable control, natural disasters, war, large-scale infrastructure outages, government action, etc.

19. Governing law and venue

These terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-laws rules. Disputes will be brought before the competent Estonian courts (Harju Maakohus, Tallinn, as default first instance), unless EU consumer-protection rules require otherwise.

20. Changes to these terms

We may update these terms. We'll email registered users at least 30 days before any material change takes effect. Continued use after that period constitutes acceptance. The "Last updated" date at the top of this page shows the most recent revision.

21. Miscellaneous

• Entire agreement. These terms plus the Privacy Policy and any plan-specific terms are the complete agreement between us.
• Severability. If a clause is unenforceable, the rest still applies.
• No waiver. Not enforcing a right once doesn't waive it later.
• Assignment. You can't assign these terms without our consent. We can assign them to an affiliate or successor in a sale or merger.
• Notices. Legal notices to us must go to hello@price-panda.com. We'll send notices to you via the email on your account.
